AlphaRank Terms of Service

1. Agreement and Scope

These Terms of Service (the "Terms") are a legally binding agreement between you and Star Forge LLC, a Tennessee limited liability company that operates AlphaRank at alpharank.trade ("AlphaRank," "we," "us," or "our"). These Terms govern your access to and use of the AlphaRank website, applications, features, content, and related services (collectively, the "Service").

By clicking an acceptance box, creating an account, purchasing a subscription, making or updating a call, placing or moving a call in an Alpha Slot, or otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms incorporate the AlphaRank Privacy Policy, Financial and Investment Disclaimer, Community and Moderation Policy, Market Data Disclaimer and Attribution Notice, Private Alpha Testing Notice, and any scoring rules or feature-specific rules displayed in the Service. If a product-specific rule conflicts with these Terms, these Terms control unless the rule expressly states otherwise.

AlphaRank is a separate product from LORE, Edge Atlas, and any other product operated by Star Forge LLC. Separate terms may apply to those products. Access to AlphaRank does not grant rights to any LORE API, dataset, software, or service.

2. Eligibility and Account Access

During the private alpha, you may create and use an AlphaRank account only if AlphaRank confirms an active OC membership or designates you as an AlphaRank operator, and all of the following are true:

• You are at least 18 years old and legally capable of entering into a binding contract.
• You are not subject to sanctions, located in a comprehensively sanctioned jurisdiction, or otherwise prohibited from receiving the Service under United States law.
• You register through AlphaRank's authorized sign-up flow and do not share, sell, transfer, or create an account for another person.
• Your use of the Service complies with all laws and contractual obligations that apply to you.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.

Registration does not create a right to continued access. We may pause sign-ups, reject registrations, revoke access, place accounts on a waitlist, or change eligibility requirements at any time.

3. What AlphaRank Is and Is Not

AlphaRank allows eligible users to publish long market calls on supported assets, place calls into Alpha Slots, create a public profile and portfolio-style record, close calls, receive receipts, and appear in leaderboards generated under AlphaRank scoring rules. Short calls are not supported during the current alpha.

At launch, AlphaRank is designed to score supported crypto assets first. Stocks, exchange-traded funds, macro instruments, and other assets may appear as public calls or receipts but may remain unscored or receipt-only unless AlphaRank expressly enables scoring. Event and prediction-market outcomes are not supported at launch.

AlphaRank does not:

• Execute, route, match, clear, settle, or facilitate purchases or sales of any asset.
• Custody money, crypto assets, private keys, seed phrases, or securities.
• Connect to or control a user exchange, brokerage, bank, or wallet account.
• Manage portfolios, determine suitability, monitor real positions, or provide fiduciary services.
• Provide personalized financial, investment, trading, legal, tax, accounting, or regulatory advice.
• Operate as a broker, dealer, exchange, alternative trading system, investment adviser, commodity trading adviser, portfolio manager, custodian, or copy-trading service.
• Offer prizes, cash rewards, tokens, or other consideration based on slots, bankrolls, calls, scores, or leaderboard position during the alpha.

4. Accounts, Handles, and Security

You must provide accurate account information and keep it current. Authentication may be provided through a third-party identity provider such as Clerk.

• Keep your credentials and devices secure. You are responsible for activity under your account until you notify us of unauthorized access.
• Do not share, sell, transfer, lease, or create accounts for another person.
• Do not create duplicate accounts, coordinate accounts, or evade a suspension, score restriction, or ban.
• Do not impersonate a person, project, issuer, exchange, regulator, media outlet, or AlphaRank representative.

We may refuse, reclaim, modify, or reserve a handle if it infringes rights, is misleading, impersonates another party, violates policy, or creates security or operational risk.

4A. Paid Subscriptions, Automatic Renewal, and Cancellation

AlphaRank may offer optional paid plans that change feature access, including how soon certain calls become visible. A subscription purchases access to Service features only. It does not purchase an asset, trade, Alpha Slot, score, rank, financial return, prize, or investment service.

• Prices, billing intervals, plan features, seat limits, and any promotion are shown at checkout. Charges are in U.S. dollars unless checkout states otherwise, and applicable taxes may be added.
• Subscriptions automatically renew for the selected monthly or annual interval until canceled. You authorize AlphaRank and its payment processor, Stripe, to charge the payment method associated with your subscription for each renewal.
• You can manage or cancel a linked subscription through the Customer Portal in Settings. Cancellation takes effect at the end of the then-current paid period unless checkout or applicable law states otherwise.
• Payments are non-refundable and we do not provide prorated credits for a partially used billing period, except where required by law or expressly stated at purchase.
• If payment fails, is reversed, or remains past due, we may retry payment, restrict paid features, or return the account to the Free plan.
• We may change plan features or future prices. We will provide notice of a price change when required by law, and a new price applies no earlier than a future renewal unless you expressly agree otherwise.

Stripe processes payment credentials under its own terms and privacy notice. AlphaRank generally receives limited billing records such as customer, checkout-session, subscription, price, status, and billing-period identifiers rather than full payment-card details.

5. Public Profiles and Public Records

AlphaRank is built around a public performance and reputation record. Depending on the features you use, the following may be public:

• Handle, display name, avatar, biography, profile links, and other profile information you choose to provide.
• Calls, asset names, symbols, chains, contract addresses, long or short direction, thesis text, timestamps, updates, and open or closed status.
• Alpha Slot placement, Slot Bankroll level, and slot movement history.
• Pending, scoreable, receipt-only, unscoreable, corrected, voided, or moderated status.
• Receipts, scores, ranks, best-call placement, badges, and related historical outputs.

Public information can be copied, indexed, cached, quoted, screenshotted, or redistributed by other people and services. We cannot control copies made by third parties. Do not include private, confidential, sensitive, or legally protected information in public content.

Closing, editing, or removing a call does not necessarily erase its history. AlphaRank may preserve prior events, timestamps, corrections, moderation labels, and score history to maintain record integrity, prevent fraud, resolve disputes, and explain scoring outcomes.

6. Calls, Updates, and Receipts

A call is a user-authored statement of market opinion. It is not an order, trade, recommendation by AlphaRank, brokerage confirmation, tax record, or proof that the user entered or could have entered an actual position.

• Calls must be submitted through the Service and may not be backdated.
• AlphaRank system timestamps, recognized asset identifiers, and price locks control for scoring purposes, even if a user device or third-party display shows a different time or price.
• Moving a call between Alpha Slots, removing and banking a call, closing a call, changing a thesis where supported, or taking another supported action may create a permanent event in the call history.
• Receipts summarize AlphaRank records and calculations. They are not broker statements, audited performance reports, proof of execution, or representations of realized profit or loss.
• We are not required to accept instructions submitted during an outage, restore a missed timestamp, or honor a user-requested price.

You may not exploit latency, stale data, pricing errors, asset misidentification, bugs, or other technical defects. We may void or rescore any affected call.

7. Alpha Slots and Slot Bankrolls

Alpha Slots and Slot Bankrolls are virtual reputation and gameplay mechanics used only inside AlphaRank to express relative confidence and calculate score weight.

• Alpha Slots and Slot Bankrolls are not money, crypto assets, securities, commodities, stored value, deposits, rewards, or property.
• They cannot be purchased, sold, transferred, withdrawn, redeemed, exchanged, or converted into anything of value.
• Slot Bankroll levels do not represent actual invested capital, position size, leverage, or financial exposure.
• You have no ownership interest or vested right in Alpha Slots, Slot Bankrolls, scores, ranks, badges, receipts, or related features.
• We may issue, reset, cap, expire, reallocate, suspend, or remove Alpha Slots, Slot Bankrolls, or scoring impact at any time, including to test the Service or address abuse.

Any future feature that gives slots, bankrolls, scores, rankings, or badges monetary value, prizes, token rewards, paid entry, or transferable benefits will require separate rules and may not be offered without additional legal review.

8. Supported, Pending, and Unscoreable Assets

AlphaRank may classify an asset or call as supported, pending, receipt-only, unscoreable, rejected, or another status.

• Known supported assets may be eligible for scoring when required pricing and identifier checks are available.
• Unknown crypto assets must include the correct chain and contract address. You are responsible for verifying the information you submit.
• A pending call may be visible on your public profile and may accept normal slot actions, but it does not affect global leaderboards until AlphaRank verifies coverage and establishes a trusted recognition-time price lock.
• If a pending asset later becomes scoreable, scoring begins only from the recognition-time price lock determined by AlphaRank, not necessarily the original user submission time.
• If an asset is rejected, unsafe, ambiguous, manipulated, delisted, migrated, unsupported, or unpriceable, AlphaRank may keep the public call as receipt-only or unscoreable.

Asset approval, verification, or display means only that AlphaRank recognized an identifier or found sufficient data coverage. It is not due diligence, validation of legitimacy, an endorsement, a safety determination, or a recommendation to trade.

9. Scoring, Leaderboards, and Hall of Fame

Scores, leaderboards, rankings, badges, Hall of Fame records, and receipt labels are proprietary game and reputation outputs created under AlphaRank rules. They are not audited investment performance and do not establish that a user is licensed, qualified, trustworthy, safe to follow, or likely to perform well in the future.

Unless AlphaRank expressly states otherwise, scoring may exclude or simplify factors that affect real trading, including:

• Execution price, bid-ask spread, slippage, liquidity, market impact, order size, partial fills, and venue availability.
• Trading fees, borrow availability and cost, funding, interest, taxes, custody, gas, bridging, and withdrawal limits.
• Liquidations, leverage, margin requirements, position limits, dividends, staking rewards, airdrops, rebases, forks, token migrations, and corporate actions.
• Whether a user actually owned, borrowed, sold, or could legally trade the referenced asset.

We may change scoring formulas, asset rules, data sources, normalization, caps, eligibility, or leaderboard design. We may correct, replay, delay, cap, void, remove, or recalculate scores and ranks, including retroactively when needed to correct data, prevent manipulation, preserve comparability, or comply with law or provider restrictions.

No score, rank, receipt, badge, or placement is guaranteed to remain available or unchanged. Where practical, material corrections may be shown through a status label or version history rather than silently rewriting the record.

10. No Financial Advice or Regulated Relationship

The Service is provided for social, informational, educational, entertainment, and record-keeping purposes. Nothing on the Service is personalized to your financial situation, objectives, risk tolerance, tax position, or legal circumstances.

AlphaRank and Star Forge LLC do not recommend that you buy, sell, hold, short, stake, lend, borrow, or otherwise transact in any asset. We do not endorse a user, call, thesis, asset, issuer, protocol, exchange, wallet, or provider merely because it appears, ranks, trends, or is verified on the Service.

No investment adviser-client, commodity trading adviser-client, broker-customer, fiduciary, agency, partnership, joint venture, or similar relationship is created by your use of the Service.

You are solely responsible for your research, professional advice, legal compliance, and financial decisions. Do not make a financial decision based solely on AlphaRank content, rankings, or market data.

11. Conflicts of Interest and Paid Promotion

When you make or materially update a call, you must clearly disclose any material connection or interest that a reasonable viewer would consider relevant to evaluating your opinion, including:

• A material long, short, option, token, equity, or other financial interest in the referenced asset or related project.
• Employment, advisory, founder, team, investor, lender, market-maker, service-provider, or governance relationships.
• Compensation, free or discounted tokens, allocations, gifts, referral or affiliate benefits, loans, future promises, or any other consideration connected to the asset or call.
• A close personal or business relationship with a project, issuer, promoter, or other materially interested party.

You do not need to disclose the exact size of a position unless AlphaRank expressly requires it, but your disclosure must be clear, prominent, accurate, and made before or at the time of the call.

Paid or compensated promotion is prohibited during the private alpha, even if disclosed. You may not post a call or amplify an asset in exchange for money, tokens, allocations, gifts, affiliate revenue, services, or promised future benefits.

We may require a conflict label, request supporting information, restrict scoring, mark content as promotional or unverified, or remove content if disclosures are missing, unclear, or misleading.

12. User Content and License

You retain ownership of content you submit, including profile text, calls, theses, updates, comments, and asset submissions (collectively, "User Content").

You grant AlphaRank and Star Forge LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, format, adapt for technical display, publish, display, distribute, archive, moderate, analyze, create scoring outputs from, and promote User Content in connection with operating, securing, improving, and marketing the Service. This license continues for retained public records, backups, legal records, and content that has been anonymized or incorporated into aggregate outputs.

You represent that you have all rights needed to submit User Content and that it does not violate law, contract, intellectual property, privacy, publicity, confidentiality, or other rights. User Content is not confidential, and AlphaRank has no duty to protect it as confidential information.

To the extent permitted by law, you waive moral rights or agree not to assert them against uses authorized by these Terms.

13. Prohibited Conduct

You may not use the Service to:

• Coordinate, promote, facilitate, or conceal pump-and-dump activity, wash trading, spoofing, market manipulation, artificial volume, or an organized effort to move the price of an asset.
• Make knowingly false, fabricated, deceptive, or materially misleading claims, including fake performance records, doctored screenshots, fake partnerships, false insider claims, or unsupported guarantees.
• Promote an asset without required conflict or compensation disclosures, or engage in paid promotion during the alpha.
• Submit a fake, malicious, misleading, or impersonating asset, symbol, chain, or contract address.
• Harass, threaten, stalk, dox, defame, discriminate against, or expose private information about another person.
• Post hateful, sexually exploitative, violent, illegal, infringing, confidential, or otherwise harmful content.
• Distribute malware, phishing links, scams, credential theft, wallet drainers, or instructions intended to compromise a person or system.
• Manipulate timestamps, data feeds, asset recognition, pricing, slots, bankrolls, scores, rankings, registrations, subscriptions, or moderation systems.
• Use bots, scripts, scraping, crawling, bulk extraction, reverse engineering, security testing, or automated access without written authorization.
• Use AlphaRank content or data to build a competing database, data brokerage product, or machine-learning training corpus without written permission.
• Violate sanctions, export controls, securities, commodities, advertising, privacy, consumer-protection, intellectual-property, or other applicable laws.

The Community and Moderation Policy provides additional rules and is incorporated into these Terms.

14. Moderation, Corrections, and Enforcement

AlphaRank may investigate suspected violations and take any action we reasonably consider appropriate, with or without prior notice, including:

• Rejecting or restricting an asset request.
• Labeling a call or asset as pending, receipt-only, unscoreable, corrected, disputed, promotional, manipulated, or moderated.
• Hiding, removing, editing for safety or formatting, or limiting distribution of content.
• Voiding, capping, replaying, correcting, or removing score impact and leaderboard placement.
• Freezing slot actions, removing scoring impact, restricting features, suspending, or terminating an account.
• Preserving evidence, moderation records, and technical logs.
• Reporting conduct to affected parties, service providers, regulators, or law enforcement when permitted or required.

We are not required to monitor all content, investigate every report, explain every decision, or apply identical outcomes in every case. Failure to enforce a rule once does not waive future enforcement.

15. Market Data and Third-Party Providers

The Service may use data, metadata, prices, liquidity information, token identifiers, and other content from third-party providers, which may include CoinGecko, DEX Screener, GeckoTerminal, DexPaprika, exchanges, blockchains, or other sources.

Third-party data and provider names, trademarks, APIs, and content remain the property of their respective owners. Use of a provider does not imply that the provider sponsors, endorses, audits, or is responsible for AlphaRank.

Market data may be delayed, stale, incomplete, inaccurate, duplicated, manipulated, unavailable, or inconsistent across venues. A displayed price may not be executable and may not reflect spread, depth, price impact, gas, fees, or the amount a user could trade.

You receive no license to scrape, download, redistribute, resell, sublicense, syndicate, or build a substitute data service from third-party data displayed through AlphaRank. Additional provider-specific terms and attribution notices may apply.

The Market Data Disclaimer and Attribution Notice is incorporated into these Terms.

16. Third-Party Services and Links

The Service may rely on or link to third parties, including authentication, cloud hosting, analytics, error monitoring, market data, social media, and external websites. Your use of third-party services may be governed by their own terms and privacy policies.

AlphaRank does not control and is not responsible for third-party services, content, security, availability, business practices, or transactions. A link or integration is not an endorsement.

17. AlphaRank Intellectual Property

The Service, including its software, design, branding, scoring systems, documentation, compilations, features, and AlphaRank-created content, is owned by Star Forge LLC or its licensors and is protected by law.

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purposes. No other rights are granted.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, create derivative works from, or exploit the Service except as expressly permitted by us or applicable law.

Intellectual Property Complaints

If you believe content on the Service infringes your intellectual property, email info@alpharank.trade with identification of the work, the allegedly infringing material, your contact information, a good-faith statement, and a statement that the information is accurate and you are authorized to act.

18. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Service, you acknowledge the practices described there.

19. Alpha Testing Risks and Service Changes

The Service is an early, experimental alpha. It may contain defects, change without notice, experience outages, lose or duplicate data, display incorrect scores, or be reset or discontinued.

• We do not promise any uptime, service level, support response, data recovery, feature continuity, or commercial launch.
• We may add, remove, test, restrict, or redesign any feature, rule, provider, asset, score, or interface.
• We may reset test data, slots, bankrolls, scores, ranks, registrations, or accounts when reasonably necessary.
• You must not rely on the Service for time-sensitive, high-risk, compliance, trading, custody, accounting, or tax purposes.

Report suspected security vulnerabilities privately to us. Do not publicly disclose or exploit a vulnerability, access data without authorization, or perform testing that could harm users or systems.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, USER CONTENT, MARKET DATA, SCORES, RANKINGS, RECEIPTS, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." ALPHARANK AND STAR FORGE LLC DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND RESULTS.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL CODE, OR THAT DATA, SCORES, RANKS, ASSETS, USERS, OR CONTENT WILL BE ACCURATE, LEGITIMATE, AVAILABLE, OR SUITABLE FOR ANY PURPOSE.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHARANK, STAR FORGE LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST REPUTATION, LOST OPPORTUNITIES, TRADING LOSSES, MISSED TRADES, TAX CONSEQUENCES, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ALPHARANK AND STAR FORGE LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO ALPHARANK FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) 100 U.S. DOLLARS.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, liability is limited to the greatest extent permitted by law.

22. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless AlphaRank, Star Forge LLC, and their owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys' fees arising from or related to:

• Your User Content, calls, promotions, asset submissions, or public statements.
• Your use or misuse of the Service.
• Your violation of these Terms, incorporated policies, law, or third-party rights.
• Your failure to disclose a conflict, compensation, or material connection.
• A dispute between you and another user, project, issuer, promoter, or third party.

We may control the defense and settlement of a covered claim, and you will reasonably cooperate. You may not settle a claim in a manner that admits fault by or imposes obligations on an indemnified party without written consent.

23. Suspension and Termination

You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.

We may restrict, suspend, or terminate your access or discontinue the Service at any time, including for policy violations, legal risk, provider restrictions, security concerns, inactivity, operational reasons, or alpha testing needs. Canceling or terminating an account does not automatically cancel a Stripe subscription; use the Customer Portal or contact us to confirm billing status.

Upon termination, your license to use the Service ends. Provisions that by their nature should survive will survive, including public-record, User Content license, intellectual-property, disclaimer, liability, indemnity, dispute, and general provisions.

24. Changes to These Terms

We may revise these Terms. We will post the updated version and effective date and, when legally required or reasonably practical, provide additional notice of material changes. Changes may take effect immediately when needed for law, security, abuse prevention, or provider compliance.

If you do not agree to updated Terms, stop using the Service. Continued use after the effective date means you accept the updated Terms.

25. Governing Law and Disputes

These Terms and any dispute arising from or related to them or the Service are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules.

Unless applicable law requires otherwise, you and Star Forge LLC agree that any lawsuit or court proceeding must be brought exclusively in a state or federal court of competent jurisdiction located in Tennessee, and each party consents to personal jurisdiction and venue there.

These Terms do not include a binding arbitration agreement or class-action waiver. AlphaRank may update this dispute-resolution section in a future version of the Terms after appropriate legal and business review.

26. General Terms

• Entire agreement. These Terms and incorporated policies are the entire agreement regarding the Service and replace prior discussions or understandings about the same subject.
• Severability. If a provision is unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions remain effective.
• No waiver. A failure to enforce a provision is not a waiver.
• Assignment. You may not assign your rights or obligations without our written consent. We may assign these Terms in connection with a reorganization, financing, merger, sale, or transfer of the Service or business.
• Force majeure. We are not liable for delay or failure caused by events beyond reasonable control, including outages, provider failures, cyberattacks, acts of government, market disruption, war, natural disaster, labor disputes, or utility failure.
• No third-party beneficiaries. Except for indemnified parties, these Terms create no third-party beneficiary rights.
• Headings. Headings are for convenience and do not affect interpretation.
